Thank you for partnering with Counselya Technology Private Limited (“Counselya,” “we,” “our,” or “us”). Since our services involve customized enterprise engineering and strategic consultations, we maintain a clear policy regarding refunds and project cancellations.

1. Complimentary Business Audits

All initial 30-minute system audits, lead leakage assessments, and custom-generated technology proposals are 100% free of charge and require zero financial commitment. No billing takes place during these sessions.

2. Milestone-Based Deliverables

For custom development contracts (such as building DXP platforms, setting up WhatsApp CRM pipelines, or implementing data warehouses), payments are structured around specific project milestones.

Once a milestone (e.g., UI Architecture Sign-off, Core API Integration, User Acceptance Testing) is completed, reviewed, and signed off by the client, the corresponding milestone payment is **non-refundable**.

3. Monthly Service Retainers & SLA Support

Recurring monthly retainers (such as cloud maintenance, ongoing performance marketing optimization, and priority SLA tech support) are billed in advance at the start of each billing cycle.

Payments made for active monthly retainer cycles are **non-refundable**. Clients may cancel their recurring monthly retainer agreements by providing a 30-day written notice to avoid billing for subsequent months.

4. Third-Party Fees

Our services require integration with third-party software and infrastructure vendors. All third-party expenditures (including Meta Ad Spend, Meta WhatsApp Cloud API conversation charges, domain registration, server hosting, and database licenses) are paid directly by the client or billed separately.

Counselya has no control over, and cannot refund, any fees charged by third-party platforms.

5. Project Cancellation

In the event that a client decides to terminate a project mid-development, the client is responsible for paying for all work completed up to the date of cancellation. Any unused advance deposits for subsequent, un-started milestones will be refunded proportionally within 30 business days of final settlement.

6. Governing Law & Dispute Resolutions

All refunds and billing disputes are governed by the laws of India. Any unresolved claims shall be filed in courts under the exclusive jurisdiction of Darbhanga, Bihar, India.
